1. Overview
Welcome to Roll Payments ("Company," "we," "us"). These Terms of Service ("Terms") govern your access to and use of our website (rollpayments.com) and associated services for martial arts academies, including gym management software, compliant dual pricing payment processing, and managed billing support (collectively, the "Service"). By accessing or using the Service, you agree to these Terms and our Privacy Policy and PCI Compliance Policy.
2. Eligibility
You must be at least 18 years old and legally capable of entering into a binding contract. By registering an account, you represent and warrant that the information you provide is true, accurate, and complete.
3. Account Registration & Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. If you suspect unauthorized access, notify us at support@rollpay.co or (800) 409‑0555 immediately.
4. Services & Fees
- Gym management platform for membership, billing, scheduling, and reporting
- Compliant dual pricing payment processing
- Managed billing support (card updates, outreach on failed payments)
Pricing: Flat monthly rate of $199.99 per gym, plus applicable transaction and gateway fees. We may update pricing with 30 days' notice.
5. Payment & Billing
Subscriptions are billed monthly in advance via ACH or credit card. If payment is not received within ten (10) days of the due date, we may suspend or terminate access, including removal of any included website services. If you request a data transfer to another provider, a $500 data export fee applies, plus any gateway fees.
6. Data Ownership & Processing
You (the gym) are the data controller of your members' data. Roll Payments acts as your data processor and processes personal data solely to provide the Service, per our Privacy Policy. We do not sell customer data.
7. Intellectual Property
All content, trademarks, and software are owned by or licensed to Roll Payments and protected by law. You may not copy, modify, distribute, or reverse‑engineer any portion of the Service without our prior written consent.
8. Acceptable Use
- No illegal, infringing, or fraudulent activity
- No introduction of malware or disruption to the Service
- No attempts to gain unauthorized access or probe vulnerabilities
- Compliance with all applicable laws and third‑party rights
9. Service Availability
We strive for continuous availability but do not guarantee uninterrupted operation. Maintenance and updates may cause temporary downtime.
10. Termination
You may cancel any time by emailing support@rollpay.co. We may suspend or terminate for non‑payment, breach of these Terms, or misuse. Upon termination, you remain responsible for any outstanding fees.
11. Limitation of Liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, or punitive damages. Our aggregate liability shall not exceed the amount you paid in the three (3) months preceding the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Roll Payments and its personnel from claims arising out of your use of the Service, violation of the Terms, or infringement of third‑party rights.
13. Governing Law & Arbitration (California; Murrieta)
These Terms are governed by the laws of the State of California without regard to conflict of laws. Any dispute shall be resolved by binding arbitration in Murrieta, California. You waive class actions and agree to individual claims only.
14. Modifications
We may update these Terms at any time. The updated version will be posted with a new effective date. Continued use after changes constitutes acceptance.
